OVERVIEW OF WEBINARS

This series of Corporate Governance & Ethics Webinars aim to introduce the concept of corporate governance, and the beneficial impact good corporate governance practices have for organisations. Importantly, good corporate governance relies on the effective functioning of a Board of Directors that has clearly assigned duties and responsibilities. This series of webinars will delve into the Directors’ role and the organisational structure of Corporate Boards. In addition, these webinars seek to highlight the reasoning behind prevailing corporate governance legal and regulatory requirements and explore how these requirements positively impact the functioning of financial institutions.

Purpose:

“Knowledge without integrity is dangerous.” These immortal words of poet and author Samuel Johnson over 300 years ago were proven true after the recent global financial crisis in which Conduct Risk made a significant contribution to its occurrence. 

 The vast majority of people are inherently good and want to do the right thing. Nevertheless, everybody is confronted with situations that require conscious (or subconscious) ethical judgements that may compromise a person’s integrity.  To navigate the maze of ethical challenges, each of us needs a way of recognising an ethically compromising environment and/or situation and have recourse to a framework of understanding regarding options to consider before taking our next action. 

 In addition, knowing how to speak up to address difficult issues is one of the most important skills any professional can develop, in order to be an ethical culture builder.  This course will look into group behaviour and give guidance on being able to raise ethical issues in a constructive way – not only in the context of daily activities but also regarding ethical investing.

Roles and Responsibilities of Directors

Purpose:

All members of Boards of Directors need to follow a series of statutory law, common law and regulatory requirements designed to meet corporate governance standards and expectations of stakeholders including regulators and the wider public. This includes duties to the corporation, the avoidance of conflict of interest, and the need to display high levels of skill, care and diligence when acting in good faith to promote the success of the company.

Serving on a Board of Directors exposes individual members to joint and individual legal liabilities, not to mention reputational risk. As a result, anybody currently or potentially serving on – or supporting or reporting to – a Board of Directors needs to become familiar with the legal and regulatory context within which they do so.

By joining this seminar all pertinent questions will be answered, and participants will also have the chance to mingle and discuss with other Directors in the sector.

Risk Governance e-Workshop

Purpose:

This programme will provide participants the opportunity to understand how risk management and oversight is achieved through intentional and methodical planning and preparation, underpinned by an enabling risk culture exemplified by the Board of Directors and Senior Management.

 

With reference to law, regulations, guidelines and best practice, participants will gain theoretical and practical insight into this critical component of an organisations activity that can make the difference between success and failure. Learning will be reinforced by the use of a real-life case study.

 

Participants will also be introduced to the psychology of risk and understand how different personalities and profiles are impacted by their risk environment, with discussion on what this means to nurturing an inclusive risk culture.

 

When implementing risk management and oversight, it is essential for organisations to meet legal and regulatory requirements in a practical way. By attending this course, participants will become familiar with an internationally recognised risk framework and discuss enablers and blockers to its implementation, including an enabling risk culture.

Leadership on Boards of Directors

Purpose:

Very often a board of directors has a repeated responsibility to set the right ‘tone at the top’ – and this should include the philosophy and style of leadership it expects of itself and other leaders within the organisation.

 

As such, special emphasis must be placed on ensuring the board of directors – and especially its’ Officers – is well equipped to lead in a way that fulfils its fiduciary duty by maximising the potential of its human capital within the organisation. The “human element” of corporate governance must be recognised and nurtured through highly developed leadership that has the competence and capacity to deliver according to the expectations of the ever-more demanding, wider stakeholders.
