This series of Company Law and Corporate Administration Webinars aim at familiarizing the participants with an understanding of the types of Cyprus companies, the relationship between Members and Officers and their respective obligations and liabilities, the nature and types of the share capital, the Directors’ and Shareholders’ Meetings and their respective Resolutions. Answers to questions from day-to-day practice will be given, through practical examples including completion of HE forms.

Company Meetings and Types of Resolutions

Purpose:

The purpose of this seminar is to align the participants with the legislation, the basic knowledge and the documents that must be kept for the meetings of a private company. Resolutions at shareholders’ meetings differ from decisions at the meetings of directors and the role of the secretary it is not clear to everyone. The perception of practitioners the sector which documents must be kept and their vocabulary, how they are signed and by whom, is not the same and this results in their mechanical preparation, mistakes and frictions.

What is the difference between extraordinary general meetings and annual general meetings, when extraordinary or special resolutions are adopted? When a board meeting must be held and what decisions are taken in board meetings? What is the meaning of the words “quorum” and “majority”, when and why a true copy of a resolution is required to be filed with the Registrar of Companies are just some of the questions which will be answered in this seminar.

Cyprus Companies’ Officers and Alterations of their Particulars

The purpose of this seminar is to align the participants with the Cap. 113 provisions referring to officers of a Cyprus private company, i.e. the directors and the secretary. The decision-making power of the directors and the role of the secretary, including their possible liabilities, is many times not clear to practitioners.

When may a director resign? How a director may be removed? What documents a secretary can sign? How are changes of officers notified to the Registrar of Companies? What is the purpose of the Notification Form HE 4? are just some of the questions which will be answered in this seminar.
